This page sets out the terms under which Moracle provides services.

Scope of engagement

Services are provided as set out in the agreed engagement letter or proposal. Any additional work outside agreed scope may require separate approval and fees.

Client responsibilities

  • Provide accurate and complete information in a timely manner.
  • Review deliverables and raise queries promptly.
  • Maintain responsibility for management decisions and compliance.

Fees and payment

Fees, invoicing schedules, and payment terms are defined in each engagement. Late payments may result in service delays or additional charges where permitted.

Confidentiality

Both parties agree to keep confidential information secure and only use it for purposes connected with service delivery, legal obligations, and compliance.

Intellectual property

Unless otherwise agreed, intellectual property in methodologies, templates, and pre-existing materials remains with Moracle. Client-specific outputs may be used by the client for internal business purposes.

Liability

Liability terms, including limitations and exclusions, are defined by the engagement letter and applicable law. Nothing excludes liability that cannot legally be excluded.

Termination

Either party may terminate an engagement in line with agreed notice terms. Fees for completed work and committed time up to termination remain payable.

Complaints and disputes

Any concerns should be raised as soon as possible so they can be reviewed and resolved promptly under our complaints process.

Governing law

These terms are governed by the laws of England and Wales, unless otherwise stated in a signed engagement agreement.
